Wayne L. Bartlett

Mr. Bartlett is a native of Gainesville, Georgia. He is a 1981 graduate of Johnson High School and a 1985 graduate of North Georgia College with a Bachelor of Business Administration Degree in Economics and Finance. Mr. Bartlett owned several small businesses in North Georgia before becoming involved in the real estate business in Winder in 1992 with Maynard Realty. In 1996, Mr. Bartlett became a partner with Jerry Maynard and they formed Maynard & Bartlett Realty Group, LLC. The company has been very successful over the years specializing in commercial and residential properties. Mr. Bartlett, a developer in residential and commercial projects, is the managing broker of the company and oversees many of the residential projects. He is also a Certified General Real Estate Appraiser with the State of Georgia. Mr. Bartlett is very involved in his community; civic duties include 2008 President for the Winder/Barrow YMCA, Executive Committee Member of the Barrow County Economic Development Committee, member of the Chamber of Commerce, and past member of The Peoples Bank Advisory Committee.

J. Donald Boggus, Jr.

Mr. Boggus is President and Chief Executive Officer of Crescent Banking Company and Crescent Bank & Trust Company in Jasper, Pickens County, Georgia. Mr. Boggus began his banking career at C&S National Bank in 1984 while attending the Georgia Institute of Technology. After serving as a staff accountant for two years with a regional accounting firm, Mr. Boggus served as Controller for Etowah Bank in Canton, Georgia. In March 1989 Mr. Boggus joined Crescent Bank & Trust Company as Controller. Mr. Boggus served as Chief Financial Officer of Crescent Bank & Trust Company and Crescent Banking Company until being named President and CEO in April 1996. Mr. Boggus has served on the board of directors of Crescent Bank & Trust Company and CMS, the mortgage subsidiary of Crescent Banking Company, since April 1996 and of Crescent Banking Company since April 1999. He also serves as a Director of Covenant Bank & Trust Company, a de novo bank in Rock Spring, Walker County, Georgia, and of New Horizons Bank in Ellijay, Gilmer County, Georgia.

William G. Brantley, Jr.

Mr. Brantley resides in Winder, Barrow County, Georgia and has lived in Georgia since 1961. In 1983, Mr. Brantley received a Bachelor of Science Degree in Economics from the University of Georgia while working in the construction industry with a local builder. After college, Mr. Brantley began his own construction companies, WGB Construction, Inc. and Southfork Homes, Inc. of Winder, Georgia, primarily building single-family residences. Mr. Brantley also owns Colonial Development, Inc., which develops subdivisions for other builders. Mr. Brantley is a member of the Greater Atlanta Home Builder Association and the Barrow County Home Builder Association. He is an active member of the Bethlehem Baptist Church.

Richard Combs

Richard (Rich) Combs has 30 years of entrepreneurial and operational experience in the industrial equipment markets. He was the Founder and President of Pureflow Ultraviolet, Inc., a Gwinnett County business, which was sold to an international acquirer after 21 years of operation. Currently, he is CEO of Excella International Corporation, a developer and distributor of high technology fluid treatment products. Mr. Combs brings along 12 years of Director experience in the banking industry. He was an organizer and Director of Gwinnett Banking Company for 10 years, prior to its acquisition by First Charter Bank. He then joined First Charter and served until they were acquired by Fifth Third Bank. While at Gwinnett Banking Company, Mr. Combs served on the Executive Committee, the Loan Committee, and was Chairman of the Audit Committee. At First Charter Bank, he served on the Loan Committee and the Trust Committee. A North Carolina native, Mr. Combs earned a BS in Engineering Science from Old Dominion University, and an MBA from Georgia State University. Most recently, he completed the North Carolina Commissioner of Banks, "Directors School," at UNC-Chapel Hill. Mr. Combs has worked with many community organizations over the years. Currently, he helps young men at risk in Barrow County in a program of "direct intervention."

John F. (Jack) Conway

Mr. Conway is the Vice Chairman of Verity Bank. Mr. Conway resides in Cumming, Forsyth County, Georgia and has been a resident of Georgia since 1968. He owns Atlanta Gear Works in Dawsonville, Georgia, which manufactures gears used in industrial machinery. Mr. Conway received his Bachelor of Science Degree from Auburn University in 1985. Civic duties include, volunteer work at the YMCA, Little League baseball coach, member of the Dawson County Chamber of Commerce, and serves as President of the Belmont Homeowners Association. Mr. Conway was an organizer and Director of Mountain State Bank in Dawsonville, Dawson County, Georgia, an affiliate bank of GB&T Bancshares, Inc. in Gainesville, Georgia, currently owned by SunTrust.

J. Bronson Lavender

Mr. Lavender is Executive Vice President and Senior Lending Officer of Verity Bank. He is a native of the North Georgia area, and currently resides in Gainesville, Georgia. Mr. Lavender is a graduate of the North Georgia State College and University in Dahlonega, Georgia where he earned a Bachelor of Science Degree in Business Administration in 1992. Immediately after graduating, he joined Wachovia Bank, where he served in the following positions over the course of eight years: Teller, Customer Service Representative, Consumer Lender, Branch Manager, Small Business Lender and Regional Retail Banking Manager over seven counties as Senior Vice President. In April 2000, Mr. Lavender left Wachovia to join Century South Bank as the President and Chief Executive Officer of their Dahlonega bank. He served in that role until the merger between Century South and Branch Banking & Trust in November 2001. At that time, he was promoted to Regional Retail Banking Manger and Senior Vice President over approximately 40 branches across Georgia, North Carolina, and Tennessee. After three years of managing the retail side of the North Georgia Region of Branch Banking & Trust, Mr. Lavender was promoted to Commercial City Executive over the Hall County market and remained in that role for almost two years. In September of 2006, Mr. Lavender joined Mountain State Bank as Executive Vice President and market leader for Lumpkin County and served in that position until he joined Verity Capital Group. Mr. Lavender has been involved in several civic, social, and community organizations, including the Gainesville State College's Foundation Board, Elachee Nature Center Advisory Board, Gainesville High School Mentoring Program, Dahlonega Rotary Club, and the United Way of Hall County. He is also an active member of Concord Baptist Church, member of the Building Team at Concord Baptist Church, Executive Director of the Capital Stewardship Program at Concord Baptist Church, and Chairman of the Audit & Finance Team at Concord Baptist Church.

John L. Lewis

Mr. Lewis is the Chairman of Verity Bank. He resides in Dawsonville, Dawson County, Georgia, and has resided in Georgia since 1995. Mr. Lewis received a Bachelor of Science Degree in Business Administration from Clemson University and later graduated from the North Carolina School of Banking. Mr. Lewis also received a Masters Degree in banking from the LSU School of Banking, where he is currently a member of the faculty. From 1983 to 1989, Mr. Lewis was employed by Wachovia Bank in the personal banking and executive banking areas. Mr. Lewis left the banking industry for three years in 1989 to become a Commercial Real Estate Leasing Agent. Since returning to the banking industry in 1992, he has held the positions of Vice President and City Executive of First Citizens Bank in Clemson, South Carolina (1992 - 1995), Executive Vice President and President and Chief Executive Officer of Century South Bank of Dahlonega (1995 - 2000), President and Chief Executive Officer of Century South Bank of Carolina in Waynesville, North Carolina (March 2000 - November 2000) and Senior Vice President and Community Executive for Bank of North Georgia (December 2000 - July 2002). Mr. Lewis was most recently President and Chief Executive Officer and an Organizer and Director of Mountain State Bancshares, Inc. and Mountain State Bank in Dawsonville and Cumming, Georgia. Mr. Lewis has held leadership positions in various organizations such as local Chambers of Commerce, Rotary Clubs, YMCAs, Habitat for Humanity groups, and local Development Authorities. Mr. Lewis was awarded the Paul Harris Fellow Award by the Rotarian Foundation and was named Club Rotarian of the Year by the Rotary Club of Dahlonega in 1998. Mr. Lewis's past community activities include service as a Director of the Community Bankers Association of Georgia, Chairman of the Financial Committee of Dahlonega United Methodist Church, Director of the Executive Committee of Downtown Waynesville Association, and Director of Haywood Regional Medical Center Association Council.

Ryker J. Lowe

Mr. Lowe resides in Jasper, Georgia and is President of Jasper Jeep Dodge Chrysler, LLC. He was a Loan Officer at Crescent Bank & Trust Company from April 2001 to July 2002. Mr. Lowe has served as a director and member of the Loan committee of Crescent Bank & Trust Company since July 2005. He is also a Director and member of the Loan Committee of First Citizens Bank of Georgia, a de novo bank in Dawsonville, Georgia.

J.J. Shah, MD

Dr. Shah resides in Lawrenceville, Georgia and specializes in Orthopedic Surgery. He received his M.B., B.S., from the University of Baroda in India. Since 1984, Dr. Shah has served as President of the Gwinnet Clinic, which is a rapidly expanding multi-specialty medical group with 30 physicians and over 16 facilities located in Barrow, Gwinnett and Walton Counties. Various appointments and memberships include: Diplomat of American Board of Orthopedic Surgery; Fellow, American Academy of Orthopedic Surgeons; Member, Floyd E. Bliven Society at the Medical College of Georgia in Augusta; Life Member, Indian Orthopedic Association; Clinical Instructor, Department of Orthopedics at the Medical College of Georgia; Clinical Instructor, Department of Orthopedics at the Emory University School of Medicine; Member, Board of Trustees for the Hospital Authority of Gwinnett County and Commissioner, of the Asian American Commission of Georgia. Dr. Shah has also served in various bank oversight roles such as Director, Chairman of the Strategic Planning Committee, and Member of the Loan Committee at Touchmark National Bank. Dr. J.J. Shah also serves as a Director for Verity Bank in Winder, Georgia.

Kirti K. Shah, MD

Dr. Shah resides in Lawrenceville, Georgia and specializes in Nephrology, Hypertension and Dialysis. He received his M.B. and B.S., from the University of Mumbai and is in medical practice at the Kidney-Hypertension Clinic, PC in Lawrenceville, Georgia. In 1990, Dr. Shah established the Nephron Corporation, which develops state of the art Dialysis Centers to care for Dialysis patients in Barrow, Gwinnett, Walton, Hall and Clarke Counties. Dr. Shah is a Medical Director for the Nephron Corporation’s Dialysis Clinics and the Kidney-Hypertension Clinic, PC. Dr. Shah is a professional member of the American Society of Nephrology, American Medical Association, and the Georgia Association of Physicians of Indian Heritage (GAPI). Dr. Kirti Shah also serves as a Director of Verity Bank in Winder, Georgia.

Steven F. Smith

Mr. Smith is the President and Chief Executive Officer of Verity Bank. Mr. Smith lives in Winder, Georgia and has resided in Georgia since 1997. Mr. Smith received a Bachelor of Science Degree in Finance from Florida State University. He began his banking career at Southland Bank in Dothan, Alabama from 1993 to 1997, where he was involved in commercial lending and branch management. Mr. Smith has held several senior level positions including Senior Vice President of Century South Bank in Dahlonega, Executive Vice President of Century South Bank in Blue Ridge, Georgia, Vice President and City Executive for Branch Banking and Trust in Blue Ridge, Vice President and City Executive for Branch Banking and Trust in Winder, Georgia and Executive Vice President of Mountain State Bank in Dawsonville, Georgia. Mr. Smith served as Credit Officer while with Century South Bank in Blue Ridge and had oversight of retail lending while at Mountain State Bank. Mr. Smith has been involved in several civic, social and community organizations, including his current service as Chairman of the Administrative Board of Winder First United Methodist Church, membership on the Finance Committee of Winder First United Methodist Church and membership of the Lanier/Forsyth Rotary Club and the Leadership Forsyth Class of 2006. Past civic duties include, Winder/Barrow YMCA, Winder Rotary Club, Kiwanis Clubs of Blue Ridge and Lumpkin County, and the Dahlonega/Lumpkin County Chamber of Commerce.
